These Terms of Service ("Terms") govern access to and use of the FlowOps platform and services ("Service") provided by FlowOps Inc. ("FlowOps", "we", "us", or "our"). By accessing or using the Service, your organization ("Customer" or "you") agrees to be bound by these Terms.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
FlowOps is a cloud-based Computerized Maintenance Management System (CMMS) that helps organizations manage work orders, preventive maintenance, assets, vendors, and related operational workflows. Features vary by subscription plan as described on our pricing page.
The Service is currently in beta. While we work hard to maintain reliability, beta software may contain bugs or experience downtime. We will communicate known issues and planned maintenance through the platform and by email.
The Service is intended for organizations and business users. You must be at least 18 years of age and have the authority to enter into these Terms on behalf of your organization. The Service is not intended for personal, household, or consumer use.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access or suspected security breach at security@flowops.com.
You may invite users ("Team Members") to your account and assign them roles with specific permissions. You are responsible for ensuring Team Members comply with these Terms and your organization's own policies.
FlowOps offers subscription plans (Basic, Professional, Enterprise) billed on a monthly or annual basis. Pricing is displayed on our pricing page. All prices are in Canadian dollars (CAD) unless otherwise stated at checkout.
Free trials: Where offered, free trials automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand.
Upgrades / downgrades: Plan changes take effect at the start of the next billing cycle. Upgrades may be applied immediately with prorated charges.
Cancellation: You may cancel your subscription at any time through the billing portal or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.
Failed payments: If a payment fails, we will attempt to collect payment and notify you by email. Accounts with outstanding balances may be suspended after reasonable notice.
You agree not to use the Service to:
Violate any applicable law or regulation.
Infringe the intellectual property rights of any third party.
Upload or transmit malware, viruses, or other harmful code.
Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
Scrape, reverse-engineer, or create derivative works from the Service without our written permission.
Use the Service in any way that could damage, disable, or impair the Service or interfere with other customers' use.
Resell, sublicense, or otherwise commercialize the Service without our written permission.
We reserve the right to suspend or terminate accounts that violate these acceptable use provisions, with or without notice depending on the severity of the violation.
You own your data. All work orders, assets, vendors, locations, and other information you enter into the Service ("Customer Data") remain your property. We process Customer Data solely to provide the Service to you and as described in our Privacy Policy.
You grant FlowOps a limited, non-exclusive license to process Customer Data as necessary to operate and improve the Service, including for security monitoring, debugging, and aggregate analytics (with personal information removed or anonymized).
You represent that you have all necessary rights to the Customer Data you provide, and that its use as contemplated by these Terms does not violate any applicable law or third-party rights.
You can export your data in CSV format at any time through the platform. Upon cancellation or termination of your account, your data remains available for export for 30 days following the end of your subscription. After that period, we will delete your data in accordance with our Privacy Policy.
The FlowOps platform, including its software, design, trademarks, and documentation, is owned by FlowOps Inc. and protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any rights in FlowOps intellectual property beyond what is necessary to use the Service as described herein.
Each party agrees to keep confidential the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWOPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be error-free, uninterrupted, or that defects will be corrected. During the beta period, service availability targets are provided as reasonable estimates only.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLOWOPS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FLOWOPS IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless FlowOps Inc. and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any applicable law or third-party rights.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute informally by contacting legal@flowops.com with a written description of the dispute. If the dispute is not resolved within 30 days, either party may pursue available legal remedies.
Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of competent jurisdiction in Ontario, Canada, and each party consents to the personal jurisdiction of such courts.
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or in-platform notification. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
If you do not agree to the updated Terms, you may cancel your subscription before the effective date of the changes.
Either party may terminate these Terms and the associated subscription by following the cancellation process described in Section 4. We reserve the right to suspend or terminate access immediately if you violate Section 5 (Acceptable Use) or if continued service creates legal or security risk.
Upon termination, your right to use the Service ends. Sections 6, 8, 9, 10, 11, 12, and 13 survive termination.
